Terms of Service

1. Who we are

NDY Imaging – Visual Asset Lab is operated by NDY Imaging Studio GmbH (placeholder legal entity), Neubaugasse 12/4, 1070 Vienna, Austria (“NDY Imaging”, “we”, “our”). These Terms of Service (“Terms”) govern retainers, one-off projects, and registration access to our image and video asset enhancement studio.

2. Services and engagement

We design and deliver static image layouts, thumbnail systems, carousel designs, mockups, and related visual assets based on materials you provide. Deliverables are shared digitally through our client portal or secure links. We may update the services from time to time to reflect new formats or capacity.

3. Eligibility & client responsibilities

You must be able to enter into legally binding agreements and represent a brand or business with all necessary rights to the assets you upload. You are responsible for (i) providing timely feedback, (ii) ensuring you hold valid licenses to fonts, logos, or photography you share, and (iii) keeping your account credentials secure.

4. Payments processed by Stripe

All card payments are handled by Stripe Payments Europe, Ltd. (“Stripe”). Your card details are transmitted directly to Stripe and never touch NDY Imaging systems. By submitting a payment, you authorize Stripe and NDY Imaging to charge your selected plan, including renewals, taxes, and currency conversion fees where applicable.

We may place a pre-authorization hold to verify cards. Stripe’s terms, including its privacy statement, apply to each payment.

5. Fees, renewals, and cancellations

Retainers renew on the cadence shown at checkout until you cancel. Cancellations take effect at the end of the current billing period. One-off projects are invoiced upfront unless otherwise agreed in writing.

Refunds follow our Refund Policy. Because we deliver creative time, refunds are limited to cases where we have not begun production or where consumer-protection laws require it.

6. Acceptable use and client content

You may not upload unlawful, infringing, or hateful content, nor request visuals for products/services prohibited by law or by Stripe. See our Acceptable Use Policy for detailed examples.

You represent that you own, or have permission to use, every asset you submit and that our designers may modify, crop, or adapt that material to produce the deliverables.

7. Intellectual property & licenses

Upon full payment, you receive a perpetual, worldwide license to use the final images, thumbnails, mockups, and templates we deliver for your own marketing, social media, and advertising. NDY Imaging retains ownership of pre-existing materials, production workflows, and design methodologies.

We reserve the right to showcase anonymized or redacted work in our portfolio unless your agreement expressly forbids it.

8. Confidentiality

Both parties agree to keep non-public materials, briefs, data, and strategies confidential. We may disclose information when required by law or payment processors.

9. Data protection

Personal data is handled in line with our Privacy Policy and EU GDPR. We engage vetted processors such as Stripe, hosting providers within the EU, and email services to deliver the studio workflow.

10. Termination and suspension

We may suspend or terminate access if invoices remain unpaid, you violate these Terms, or you request banned creative work. You may terminate anytime by cancelling your retainer; fees already collected remain payable.

11. Governing law and venue

These Terms are governed by Austrian law with the competent courts of Vienna, Austria having exclusive jurisdiction. Mandatory consumer protections remain unaffected. EU consumers may also use the EU Online Dispute Resolution platform.
